YGEIA Fit Radio — General Terms & Conditions (Commercial License Agreement)

1. Overview

These General Terms & Conditions (“Agreement”) govern the licensing relationship between YGEIA Fit Radio, a division of the YGEIA Brand (“Licensor,” “we,” or “us”), and the subscribing business entity (“Licensee,” “you,” or “your”).

By purchasing or activating a YGEIA Fit Radio commercial license, you agree to the terms and conditions set forth herein.

2. License Grant

2.1 Scope of License

Upon payment of applicable fees, the Licensee is granted a non-exclusive, non-transferable, limited commercial license to stream YGEIA Fit Radio content within approved physical business locations such as:

• Fitness centers

• Studios

• Spas or wellness spaces

• Corporate fitness facilities

This license covers background music playback only and does not include rights for public broadcast, resale, or reproduction.

2.2 License Limitations

Licensee may not:

• Copy, record, distribute, or modify any YGEIA Fit Radio content;

• Transmit or rebroadcast streams outside approved locations;

• Share or resell streaming credentials;

• Integrate YGEIA Fit Radio into third-party apps or systems without prior consent.

3. License Types

YGEIA Fit Radio offers the following license tiers:

• Pro Gym License: Single-location access for commercial use.

• Enterprise License: Multi-location or franchise access with centralized billing.

• Custom License: Tailored solutions or white-label implementations by written agreement.

4. Payment & Billing

4.1 Fees

All license fees are billed in U.S. Dollars and payable via credit card, ACH, or other approved methods.

4.2 Billing Cycle

Subscriptions renew automatically on a monthly or annual basis, depending on your chosen plan. Renewal rates are subject to change with prior notice.

4.3 Late or Failed Payments

If payment fails, YGEIA Fit Radio reserves the right to suspend or terminate access until payment is received. Late payments may incur reasonable reactivation or administrative fees.

4.4 Refund Policy

Because the Service provides immediate access to streaming content, all fees are non-refundable once payment is processed, except where required by law.

5. Term & Renewal

The license becomes effective upon activation and continues for the duration of the paid period.
It renews automatically unless canceled prior to the renewal date.

Either party may terminate the Agreement at any time with written notice of at least 30 days.

6. Termination

YGEIA Fit Radio may terminate or suspend access immediately, without notice, if the Licensee:

• Breaches this Agreement or any applicable law;

• Uses the Service in an unauthorized manner;

• Fails to pay fees when due;

• Engages in activity that damages YGEIA’s reputation or intellectual property.

Upon termination, all rights to use YGEIA Fit Radio cease immediately, and the Licensee must delete or destroy all access credentials and materials.

7. Intellectual Property

All YGEIA Fit Radio content, including music, mixes, visuals, branding, and software, remains the exclusive property of YGEIA Fit Radio and its licensors.

Licensee acknowledges that this Agreement grants a license to use, not ownership of, the content.

Licensee may not remove or alter any branding or YGEIA Fit Radio identifiers embedded in the stream.

8. Public Performance and Legal Compliance

8.1 Royalty-Free Guarantee

All YGEIA Fit Radio content is royalty-free and cleared for commercial playback within fitness and wellness environments.
You are not required to pay performance royalties to ASCAP, BMI, or other music collection agencies when using YGEIA Fit Radio exclusively.

8.2 Local Compliance

If your country requires local “public performance” notices or filings, you are responsible for ensuring compliance with those requirements.
YGEIA Fit Radio can provide documentation confirming its royalty-free licensing status upon request.

9. Service Availability & Force Majeure

We strive for 99.9% uptime but cannot guarantee uninterrupted streaming.
We are not responsible for outages or disruptions caused by:

• Internet connectivity or third-party infrastructure failures;

• Maintenance, updates, or technical upgrades;

• Events beyond our control (natural disasters, strikes, government actions, etc.).

10. Indemnification

Licensee agrees to indemnify, defend, and hold harmless YGEIA Fit Radio and its affiliates from any claims, damages, liabilities, or costs arising from:

• Misuse of the Service;

• Violation of this Agreement;

• Unauthorized reproduction or broadcast of content;

• Infringement of third-party rights.

11. Limitation of Liability

In no event shall YGEIA Fit Radio’s total liability under this Agreement exceed the amount paid by Licensee during the preceding twelve (12) months.

We shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use or inability to use the Service.

12. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information shared in connection with this Agreement, including pricing, technical documentation, and account credentials.

13. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of California, United States, without regard to conflicts of law principles.

Any disputes arising under or in connection with this Agreement shall first be addressed through good-faith mediation, and if unresolved, submitted to binding arbitration in San Diego County, California.

14. Assignment

Licensee may not assign or transfer this Agreement or any rights under it without YGEIA Fit Radio’s written consent.
YGEIA Fit Radio may assign or delegate its obligations in connection with a merger, acquisition, or corporate restructuring.

15. Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full effect.

16. Entire Agreement

This document constitutes the entire agreement between the Licensee and YGEIA Fit Radio and supersedes all prior communications or representations, whether written or oral.
